These terms apply to every order placed with VE Creative (“we”, “us”). By placing an order you agree to them.
1. Who we are
VE Creative is operated by [legal business name], [registered address], Philippines. We work online with clients in the Philippines and abroad. You can reach us at hello@ve-creative.com.
2. Your order
- Your order is the services and packages you choose on our website, or that we set out in a quotation or invoice.
- What each package includes is described on our website on the day you order.
- A quotation is valid until the date shown on it.
- Anything not listed in your package is outside your order. We quote for extra work before we do it.
3. Prices and payment
- Prices are charged in the currency shown at checkout.
- Prices [do not include taxes, bank charges or transfer fees unless stated].
- One-off projects are paid in full before work starts.
- Monthly services are paid in advance, one month at a time. Your first payment covers the first month.
- If you choose monthly auto debit, PayPal charges the monthly amount automatically until you cancel. You can cancel any time from your PayPal account.
- We take payment by the methods shown at checkout or on your invoice. Online payments are made on the payment provider’s own page. We never see or store your card details.
- [Advertising budgets and other third-party costs, such as domains, hosting, stock images and software licences, are not part of our fees unless your package says so. You pay those providers directly.]
- Our payment confirmation email is not an official receipt. [We issue an official receipt or invoice on request.]
- If an invoice is not paid within [7 days] of its due date, we may pause work until it is paid.
4. Getting started
- After payment we email your onboarding kit: a short list of what we need from you.
- A discovery call is optional. You can ask for one, or choose creative freedom instead.
- If you choose creative freedom, you ask us to use our own judgment on direction, design and wording, based on what you send us. We still show you the work before it goes live. Changes you ask for after that count as revisions under section 6.
5. What we need from you
- Send the items in your onboarding kit and answer our questions in good time. A delay on your side moves our dates by at least the same amount.
- Give us access by inviting us as a user. Please do not send passwords by email.
- Name one person who can approve work for you.
- If we do not hear from you for [30 days], we may pause the project. [After 90 days without a reply we may close it. Fees for work already done are not refunded.]
6. Approvals and revisions
- We show you work before it is published or goes live.
- Each deliverable includes [2] rounds of revisions. A round is one combined list of changes.
- More rounds, or changes to something you already approved, are extra work and are quoted separately.
- If you do not reply within [10 business days] of receiving work for approval, we may treat it as approved.
7. Timelines
- Dates we give are estimates, not guarantees, unless we agree a fixed date with you in writing.
- A timeline starts when we have both your payment and the items in your onboarding kit.
8. Monthly services
- Monthly services run month to month[, with no minimum term].
- Work included in a month that you do not use does not carry over to the next month.
- You can cancel as set out in section 9.
9. Refunds and cancellations
One-off projects
- If you cancel within [3 days] of paying and before we have started work, we refund you in full.
- If you cancel after work has started, we refund the fee for the work not yet done. Work already done is not refunded.
- After final delivery or go-live there is no refund.
Monthly services
- You can cancel any time by emailing us. If you pay by auto debit, also cancel it in your PayPal account.
- Your service runs to the end of the month you have already paid for. That month is not refunded.
If we cannot deliver
- If we cannot deliver something you paid for, we refund the fee for that part.
How refunds are paid
- Refunds go back to the payment method you used, within [14 days] of our confirming the refund.
- [Fees and exchange-rate differences that the payment provider does not return to us are not refunded.]
- Third-party costs already paid on your behalf cannot be refunded.
- To ask for a refund or to cancel, email hello@ve-creative.com with your order number.
Nothing in these terms takes away rights you have under the law of your country that cannot be given up by agreement.
10. Who owns the work
- Once you have paid in full, the final work we made for you is yours.
- Until then it remains ours.
- Third-party materials, such as fonts, stock images, plugins and software, stay under their own licences.
- We keep our own tools, templates, code and methods, and may use them again for other clients.
- [We may show the finished work in our portfolio unless you ask us in writing not to.]
11. Your content
- You confirm that you have the right to use everything you give us, including text, images, logos and data, and that it is lawful.
- You are responsible for the claims your business makes in its marketing.
12. Other companies’ services
Our work depends on services run by other companies, such as hosting, domain registrars, advertising platforms, social networks, search engines and payment providers. We do not control them and are not responsible for their outages, rule changes, account suspensions or fees.
13. Results
We work to improve your results, but we cannot guarantee search rankings, traffic, leads, sales, followers or advertising performance.
14. Confidentiality
Each of us keeps the other’s non-public information confidential and uses it only for the work.
15. Privacy
We use your personal information to handle your order and deliver our services, as described in our Privacy Policy
16. Liability
- Nothing in these terms limits liability that cannot be limited by law.
- Beyond that, we are not liable for indirect losses, lost profit, lost revenue or lost data.
- Our total liability for any claim is limited to [the fees you paid us for the service concerned in the 3 months before the claim].
17. Ending the agreement
- Either of us may end the agreement if the other seriously breaks these terms and does not put it right within [14 days] of being told in writing.
- We may stop work if we are asked to do something unlawful or abusive.
- When the agreement ends, you pay for work done up to that date. Section 9 applies to any refund.
18. Changes to these terms
We may update these terms. The version in force on the day you place an order applies to that order.
19. Governing law
These terms are governed by the laws of the Philippines. Disputes go to the courts of [city], Philippines, unless the consumer law of your country gives you the right to use your local courts.
